  • The Company and its Board of Directors will comply with all applicable laws, regulations, and industry standards, including those governing publicly listed companies on the OTC markets.
  • Directors and officers must ensure that all corporate filings and public disclosures are accurate, complete, and timely.

2. Integrity and Transparency

  • All actions and decisions will be guided by honesty, fairness, and accountability.
  • The Board shall promote transparent communication with shareholders, stakeholders, and regulatory authorities.

3. Conflicts of Interest

  • Directors and officers must avoid situations where their personal or financial interests conflict with the interests of the Company.
  • Any potential conflict of interest must be disclosed promptly to the Board and appropriately managed or resolved.

4. Confidentiality

  • Confidential information pertaining to the Company, its research, business strategies, or intellectual property must be safeguarded.
  • Directors and employees are prohibited from disclosing or using such information for personal gain or unauthorized purposes.

5. Insider Trading

  • Directors, officers, and employees are prohibited from trading in the Company’s securities based on material non-public information.
  • Compliance with all securities laws and regulations governing insider trading is mandatory.

  • A whistleblower policy shall be implemented to facilitate the reporting and resolution of ethical violations.

10. Compliance and Enforcement

All Directors, officers, and employees must certify annually that they have read, understood, and agree to comply with this Code.

This Code of Ethics will be reviewed annually by the Board of Directors to ensure its relevance and effectiveness in upholding the Company’s values and commitments.
